Carriers
1. Routing and valid connecting points are reflected in the GDS fare quote systems.
2. Fares and travel are valid via flights operated by Delta Connection carriers
3. Offline segments (OAL) are allowed on DL tickets, but through fares that contain OAL segments are not eligible for commission.
4. OAL segments are not eligible for commission.
5. OAL is defined as an airline whose marketing code is other than Delta (DL).

Commission Qualification Terms
1. Tickets must be plated on DL (006) only.
2. Tickets must be issued in US Dollars.
3. Tickets must be issued in the US.
4. Tickets must state Non-Endorsable Refundable by Delta/Issuing Agency Only.
5. Commissions must be calculated against a published base fare excluding any taxes, fees or YQ/YR surcharges. Published fare rules apply and all applicable fees, surcharges, taxes, etc, must be collected.
6. Commission compensation must be taken at point of sale. Retroactive commission may not be claimed.
7. Tickets refunded, exchanged or used on OAL are subject to recall of commission.
8. The LC17 code must appear on the ticket in one of the following locations (listed in order of preference):
   a. Ticket Designator;
   b. Tour Code if Ticket Designator already in use;
   c. Ticket Endorsement Field if both Ticket Designator and Tour Code being used
9. Eligible fare classes with no seasonality displayed in GDS are commissionable at (L) Low/(J,K) Shoulder commission percentage rate.
10. Fare breaks are permitted given the connecting time does not exceed 24hrs. Fare breaks unless specified below:
   a. Permissible fare breaks: For tickets plated on Delta ticket stock (006) only. The commission is valid on the US domestic
       sector ONLY in conjunction with an international published local fare, where the GDS has established the lowest
       applicable fare is the combination of the two point-to-point fares (i.e. STL-ATL & ATL-LOS separate fares, vs STL-LOS
       through fare) and the O&D is booked as a married segment. Similarly, two one-way tickets purchased separately for a
       round-trip itinerary are not eligible.
11. Commission is based off of the Fare Basis Code (FBC), i. e., the first letter in the FBC. For example, for FBC QHX99NC, commission may be claimed in accordance with Q class in the chart shown above.

Exceptions: No commission will be earned pursuant to this exhibit for the following:
1. Infant, student, military, government, VUSA, group block space or standby fares.
2. Negotiated fares, corporate travel, corporate discounted fares or any other special pricing/commission programs.
3. Tickets where Delta Equity Card (series beginning with 1556) is used in whole or in part as the form of payment.
4. Split ticketing: Entire itinerary must be issued on the same ticket.
5. Any DL web fares with Fare Basis Code containing "PVN" and/or "PVR". Example: ULXPVN1.
6. Delta Main Basic (formerly known as Basic Economy) or Economy Light fares. These fare types can be identified by the letter B in the seventh position of the fare basis code. For example, VL1X26B3.
7. Excludes non-stop flights to/from Atlanta, Detroit, Minneapolis, and Salt Lake City. (For example, Atlanta to Barcelona is not eligible for commission but incentive is available for Atlanta to Barcelona connecting in Paris.)

Special Conditions
1. All published fare rules apply.
2. This agreement is subject to change or cancellations on 24 hours advance notice by either party.
3. This agreement is strictly confidential. Any disclosures of the fares or terms contained herein to passengers or persons not approved by Delta constitutes a breach of this confidentiality, which will result in immediate cancellation of this agreement.
4. Economy-class fares that feature an automatic upgrade option are commissionable at the applicable Economy-class commission rate.
