Amendment to the Confidential Incentive Agreement between Air Canada and Agency (the “Agreement”)

Pursuant to the terms of the Agreement, Air Canada is amending the terms thereof as of December 12, 2025 (the “Effective Date”). As of the Effective Date, the Time of Ticketing Appendices of the Agreement are deleted and replaced by Appendices 3 to 6 set forth hereafter. All other terms, conditions, definitions and regulations stipulated in the Agreement remain in full force and effect and apply to the attached Appendices.

Appendix 3 – Terms and Conditions applicable for All Services

Applicable Carriers Air Canada Carriers Air Canada and any carrier with whom Air Canada has a capacity purchase or wet lease agreement who operates on behalf of Air Canada under the “Air Canada”, the “Air Canada Rouge” or the “Air Canada Express” brands, as well as The Landline Company Inc. in its capacity as an operator of ground transportation on behalf of Air Canada.

Time of Ticketing APPLIES to

Original tickets and additional collection of ticket exchanges
Base fare, surcharge, stopover charges and elements shown in the fare box and the fare calculation box of the ticket
All Flight Passes purchased at aircanada.com/agents, including those identified with a corporate contract number in the client

identifier box

Published one-way and round-trip fares as per fare rules
Sector fares as per fare rules
Valid on published group booking when GR# is entered in tour code box followed by tour code ACUSA in the following format:

Meetings and conventions tickets
Allowable exception on tickets using 8Dxx ticket designator for Propel levels 1-4 and Blueprint Discover, Experience or Savings

Change fees, seat selection fees, meals, upgrades and all other optional products and services fees
All net fares, including Leisure/Group net fares and Inclusive Tour (IT)/Bulk Ticket (BT) no fare ticketing
Small and Medium Business tickets identified with a PN # or any other account number
All corporate contract tickets identified with a corporate contract number in the tour code box, including tickets with no corporate

discount applied

Aeroplan redemption tickets, industry reduced rates, bereavement travel and any other discount program fares
Taxes, surcharge and any fees/charges entered in the tax boxes
Round the World RTW fares
Infant fares not occupying a seat
Retroactive Time of Ticketing; it is the responsibility of the travel agent to claim the correct time of ticketing upon ticket issuance

Appendix 3 continued – Terms and Conditions applicable for All Services

Booking and Ticketing

Booking Channels		- Global Distribution System (GDS) - aircanada.com/agents (where applicable) and AC NDC certified channels
Tour Code		ACUSA must be entered in the tour code box of GDS tickets at time of ticketing. When ACUSA is not entered in the Tour Code box of the ticket, or if it is entered incorrectly, a ticketing error fee of minimum $50.00 per ticket will apply and the commission may be recalled. For exchanged tickets, you must still enter the Tour Code, even if TOT was claimed on original tickets, or if TOT is not applicable due to even exchange. Failure to adhere to ticketing instructions will incur debit memos payable within 30 days of issuance.
Commission Box and Payment		- GDS: enter incentive amount in the commission box at time of ticketing. - aircanada.com/agents and NDC certified channels: rate is automatically applied and paid weekly via ARC sales report process.
Combination of booking classes		- For North America (Domestic Canada or Transborder), the highest rate applies to the entire ticket based on the respective service. - For Latin America and Caribbean (LAM/CARIB), the lowest rate of the international segments between Canada and LATAM applies to the eligible segment(s). - For Transpacific, the lowest rate of the AC international segments between Canada and Transpacific applies to the eligible segment(s). Example: CLE YYZ AC YYZ PVG AC (Z class) – PVG YYZ AC (B class) YYZ CLE AC = CLE PVG eligible & PVG CLE eligible (POO USA, lowest rate of the segments between Canada and Pacific applies (Z and B class), 6% on entire ticket)
Combination of services		- Latin America and Caribbean/Transpacific combinations are permitted, provided all segments are marketed, plated and operated by AC. Example: EWR YYZ AC YYZ CUN AC – CUN YVR AC YVR HKG AC = EWR CUN eligible (LAM/CARIB service) & CUN HKG eligible (Transpacific service) - Transpacific/Latin America and Caribbean combinations are permitted, provided all segments are marketed, plated and operated by AC. Example: SEA YVR AC YVR HKG AC – HKG YVR AC YVR EZE AC = SEA HKG eligible (Transpacific service) & HKG EZE eligible (LAM/CARIB service) - Transpacific/Transatlantic combinations are permitted; the Transpacific time of ticketing commission rate will only apply on the portion of the trip that includes the AC Transpacific segment. Example: DEN YVR UA YVR ICN AC – ICN FRA LH FRA YYZ AC YYZ LAX AC = DEN ICN eligible & ICN LAX not eligible (Transatlantic segment)

Exchanged Tickets		- GDS: If a fully unused ticket is exchanged, Agency will return the commission of the original ticket and claim commission on the new base fare. For partially used tickets, the original commission applies. - Air Canada’s agency website and AC NDC certified channels: If a ticket is exchanged, the new commission percentage can only be applied on the ADCOL value, not on the total new base fare. For partially used tickets, the original commission applies.
	Refunds	Time of Ticketing is recalled.
	Taxes, Surcharges,	Agency is responsible for collection of all applicable taxes, fees/charges and surcharges valid at time of ticketing.
	Fees/Charges
Split Ticketing		When customer has requested a round-trip, Agency shall not issue two one-way tickets in lieu of one round- trip ticket.

Additional Permitted Carriers Canadian North 5T, Central Mountain Air 9M, Bearskin JV, Air Creebec YN, PAL Airlines PB and Pascan Aviation P6 are permitted within Canada provided that one segment is marketed by Air Canada and operated by an Air Canada Carrier.

For Transborder itineraries, Air Canada marketed flights operated by United Airlines or United Express on segments within the United States are permitted, provided the Transborder segment is marketed by Air Canada and operated by an Air Canada Carrier.

Codeshare and Interline

At least one LAM/CARIB segment of the ticket must be marketed by Air Canada and operated by an Air Canada

Carrier.

Codeshare and interlining are permitted at either end of itinerary ONLY when POO is USA or CAN. It is not permitted

when POO is LAM/CARIB.

On a round-trip ticket, with AC operating one (1) LAM/CARIB segment and another carrier operating the other

LAM/CARIB segment, the commission will only apply to the portion of the trip that includes the eligible AC LAM/CARIB leg. For example: o JFK YYZ AC YYZ BOG AV – BOG YYZ AC YYZ JFK AC = JFK BOG not eligible (LAM/CARIB segment on AV) & BOG JFK eligible

Maximum of 2 segments can be operated by another carrier in each direction.
